Nexus Terms of Sale Version 1.1 · Effective: October 27, 2026 · Seller: Invictus Entertainment, LLC
1. Who you're buying from. Nexus is developed, licensed and sold by Invictus Entertainment, LLC ("Invictus", "we", "us"), support@invictusent.com. These Terms of Sale, our Nexus End User License Agreement (the "EULA", https://invictusent.com/nexus/eula.html) and our Privacy Policy (https://invictusent.com/privacy.html) govern your purchase and use of Nexus.
2. Who processes your order. Orders are processed by Link, LLC (a Stripe affiliate), which acts as merchant of record for your payment. Checkout and receipts are labelled "Sold through Link", and your card statement will show "LINK.COM*" followed by a short form of our name. When you check out, you also agree to Stripe's Sold Through Link Terms and Purchase Terms (https://stripe.com/legal/consumer), and Stripe handles your payment information under its own privacy policy (https://stripe.com/privacy) and the Link privacy materials (https://link.com/privacy-center). Those terms govern your payment. These Terms of Sale and the EULA govern Nexus itself.
3. Plans and prices. Nexus is sold as a subscription, per seat. One seat activates Nexus on one Mac at a time.
- - Monthly: US$49.99, charged every month.
- - Annual: US$479.88, charged once a year in advance.
Prices are in US dollars. Taxes may apply. At checkout, Link may offer you the price in your local currency. If you pay in your local currency, Link's exchange rate may include a currency conversion fee; you can choose to pay in US dollars instead. The amount shown before you confirm your payment is the amount you pay. Refunds are made in the currency you paid in. If you pay in your local currency, the amount of a renewal in that currency may differ from what you paid before.
4. Automatic renewal. Your subscription renews automatically at the end of each billing period (every month or every year) and your payment method is charged the then-current price for your plan until you cancel. By completing checkout you authorize these recurring charges. The renewal price is the price shown at purchase unless we change it under clause 6. For annual plans, we'll email you a reminder 20 days before each renewal with the renewal date, the amount and how to cancel. Renewals aren't refundable (clause 7), so cancel before the renewal date if you don't want to renew. For a Founding Offer subscription, that email also tells you the founding price is ending.
5. How to cancel. You can cancel at any time:
- - using the Manage subscription button in your receipt email; or
- - by emailing support@invictusent.com with "Cancel" in the subject. We'll process it and confirm by email.
Cancelling stops all future renewals. Your seat stays active until the end of the period you've already paid for, and we don't charge you again.
6. Price changes. We may change subscription prices for future billing periods. We'll email you at least 7 and no more than 30 days before a new price applies to you, with the new price, its effective date, and how to cancel. If you don't cancel before then, the new price applies from your next renewal.
7. Refunds.
- (a) 72-hour refund. You can get a full refund of the amount you paid, no questions asked, if you ask within 72 hours of your first payment for a Nexus subscription (Monthly or Annual, including a Founding Offer purchase). The 72 hours run from the time of that payment shown on your Link receipt, and your request counts as made when your email reaches support@invictusent.com. If your license key reaches you later than your payment, the 72 hours run from the time it arrives.
- (b) Renewals aren't refundable. This applies to every renewal, Monthly or Annual. You can cancel at any time (clause 5) to stop the next charge, and your seat stays active until the end of the period you've paid for.
- (c) How to ask. Email support@invictusent.com from the email you bought with, or include your Link receipt or order number. We don't need a reason. Refunds are for the full amount you paid and go back to your original payment method. Link will email you a refund receipt.
- (d) What a refund does. A refund is always for the full amount of that payment; we don't give partial or prorated refunds, except that the EULA says we will refund the unused part of a paid period in two cases (EULA sections 12.8 and 19.2). When we refund a payment we also cancel your subscription and suspend the license for that order. A refunded license can't be reinstated, but you're welcome to buy again at the then-current price. If you refund a Founding Offer purchase, the founding price is given up and can't be used again.
- (e) One per customer. The no-questions refund in (a) is available once per customer. We may decline requests that show fraud or abuse of this policy. This limit doesn't affect (f), (g) or (h).
- (f) Link's refund policy. Your order is processed by Link (clause 2), which runs its own refund process; you can also ask Link support for a refund (https://support.link.com/topics/sold-through-link). Under Link's policy at https://support.link.com/questions/sold-through-link-refunds, Link reviews requests made within 60 days if Nexus wasn't delivered, is significantly not as described or unfit for purpose, was corrupted, or the charge was unauthorized or duplicated. Link's policy says it doesn't review change-of-mind requests or unused or uncancelled subscriptions, except where you have a legal cooling-off right. This clause is in addition to Link's policy, not instead of it; where Link's policy gives you more, it applies.
- (g) Your legal rights. If you're a consumer in the EU or UK, you have a legal right to cancel within 14 days of receiving access to Nexus and get a full refund; you can use it by emailing support@invictusent.com, or through Link support as described in the Sold Through Link Terms. This right is separate from the 72-hour refund in (a), and the 72-hour limit doesn't shorten it. Nothing in these Terms limits any right you have under the law where you live.
- (h) What our limits don't affect. The 72-hour limit in (a), the renewal rule in (b) and the once-per-customer rule in (e) apply only to refunds we give under our own policy. They don't limit any right you have under the law or under Link's own terms, and Link may handle a refund request under its terms.
8. Failed payments. If a renewal payment fails, Stripe may retry it and may email you to update your payment method. While the payment is outstanding, your license is suspended. When Nexus next checks the license and finds it suspended, the Matrix, Multiviews and Devices tabs, Bitfocus Companion commands that change sources, routing or salvos, and the Test Generator and Streams QC controls lock at that point, which can be some time after the payment problem. Outputs already live are designed to keep running until you quit Nexus. Once Nexus has recorded that the license is no longer active, the next time it starts it shows "License Required" and doesn't start production on its own. Offline grace applies only when Nexus can't complete a license check (for example, because it can't reach the license server): Nexus shows a warning after about 36 hours and keeps working for up to 7 days after its last successful check before locking (EULA section 5.4). There's no offline grace when the license server answers that the license is suspended (EULA sections 5.4, 6 and 12.4). Paying the outstanding amount restores your license.
9. License delivery and activation. After your payment is confirmed, we email your license key from support@invictusent.com, normally within a few minutes. If it hasn't arrived within 24 hours, contact support@invictusent.com and we'll send it or refund you. Activation and license checks need an Internet connection. Nexus checks your license when it starts (if more than 24 hours have passed since the last successful check), when you click Refresh and when you activate (EULA section 5.3). These checks send the data described in our Privacy Policy (your license key and an identifier for that Mac) to our licensing provider, Keygen. The free trial needs no connection. You can deactivate a Mac and move your seat in Settings → License Status. Use of Nexus is governed by the EULA.
10. Promotional offers. Offers such as the Founding Offer are subject to the terms stated with the offer (Schedule 1). Unless the offer says otherwise: one offer per customer, codes can't be combined, have no cash value, and can't be applied to past purchases. An offer discount applies only to the period stated, and your subscription then renews at the regular price shown with the offer.
11. Chargebacks. Please contact us or Link support before disputing a charge. Disputes are handled through Link as merchant of record. If a payment is reversed, the license for it is suspended.
12. Trial. Nexus includes a 14-day free trial that needs no payment details and doesn't convert to a paid subscription automatically.
13. Availability; export. Nexus is offered for sale only in countries our payment provider supports for this sale. If you're buying from another country, please don't purchase; if we learn of such a purchase, we may cancel it and refund you in full. We can't sell Nexus where the law or Stripe forbids it (including Cuba, Iran, North Korea, Syria, Russia, and the other countries Stripe restricts). You confirm you're not a sanctioned person and won't export Nexus in breach of U.S. export law.
14. Disclaimers; liability. The warranty disclaimer and limits on liability in the EULA apply, including the NDI® third-party terms required by Vizrt NDI AB (EULA sections 8 and 13 to 16). Nothing in these Terms limits rights you have under consumer law that can't be waived.
15. Changes to these Terms. We may update these Terms for future purchases and renewals. We'll email active subscribers about material changes at least 30 days ahead. Continued use after renewal under the new Terms means acceptance, and you can always cancel before then.
16. Governing law and disputes. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Courts in Los Angeles County, California, have exclusive jurisdiction over disputes between you and us, except that if you're a consumer in the EU, EEA or UK you keep the protection of the mandatory consumer laws of the country where you live and may bring claims in your local courts (EULA section 16.2). The terms you accept with Stripe at checkout, including their dispute terms, are a separate agreement between you and Stripe; they don't cover disputes between you and us.

Schedule 1: Founding Offer Terms
These Founding Offer Terms are Schedule 1 to the Nexus Terms of Sale (https://invictusent.com/nexus/terms.html#schedule-1).
- 1. Offer. Enter promo code FOUNDING at checkout when you buy a Nexus Annual subscription. It takes US$80.88 off your first annual payment, once per order, so one seat costs US$399.00 for your first year.
- 2. After the first year. Your subscription renews automatically at the regular Annual price, currently US$479.88 per seat per year, on each anniversary of your purchase, until you cancel. We'll email you a reminder 20 days before your founding year ends, showing the renewal date, the renewal price and how to cancel.
- 3. Who's eligible. First-time Nexus customers only: you, and the business you buy for, have never paid for a Nexus subscription before. One founding order per person or business, whichever email address or checkout you use.
- 4. Seats. One seat per order. The discount is US$80.88 off the first annual payment of that order.
- 5. Plans. Annual plan only. The Monthly plan doesn't accept promo codes.
- 6. Deadline. The code must be redeemed at checkout by December 31, 2026, 11:59 PM Pacific Time. The founding price then applies to that order's first year only.
- 7. Cancelling. Cancel anytime: use Manage subscription in your receipt email or email support@invictusent.com. Cancelling stops future renewals; your plan stays active until the end of the year you've paid for.
- 8. Refunds and other rules. Refunds follow Terms of Sale clause 7: a full refund within 72 hours of your first payment (renewals, including your first renewal at the regular price, aren't refundable), plus Link's refund policy and your legal rights. If you refund your founding order, the founding price is given up and can't be used again. No cash value. Can't be combined with other codes or applied to past purchases. Not transferable. If a code is used in breach of these terms, we may cancel that order and give a full refund of what you paid; we will never charge the difference afterward. We may end the offer early for new redemptions with notice on this page. That doesn't affect anyone who has already redeemed it.
- 9. Currency and tax. Prices are in US dollars. Taxes may apply. Link may offer you the price in your local currency; its exchange rate may include a conversion fee, and you can choose to pay in US dollars instead. The amount shown before you confirm is the amount you pay, refunds are made in the currency you paid in, and a renewal amount in your local currency may differ from what you paid before (Terms of Sale clause 3).
- 10. These offer terms are part of the Nexus Terms of Sale. If they conflict, these offer terms control for the founding discount.
