Nexus End User License Agreement Version 1.1 · Effective: October 27, 2026 · Licensor: Invictus Entertainment, LLC
Please read this carefully. It's the agreement between you and Invictus Entertainment, LLC for using Nexus. If you don't agree, click Quit and don't use Nexus.
1. About this agreement
1.1 Who it's with. This End User License Agreement (the "Agreement") is between you and Invictus Entertainment, LLC ("Invictus", "we", "us"), support@invictusent.com. Invictus develops Nexus, owns it (apart from the third-party parts described in sections 8 and 9) and licenses it to you.
1.2 What it covers. This Agreement covers your use of the Nexus application for macOS, its updates, its documentation, and the license keys for it (together, "Nexus"), during a free trial and under a paid subscription.
1.3 How it fits with our other terms.
- - Buying a subscription is covered by our Terms of Sale (https://invictusent.com/nexus/terms.html): prices, tax, automatic renewal, cancellation, price changes, refunds, failed payments and license delivery.
- - Personal information is covered by our Privacy Policy (https://invictusent.com/privacy.html).
- - Orders are processed by Link, LLC (a Stripe affiliate), as merchant of record; checkout and receipts say "Sold through Link". Your payment is covered by Stripe's Sold Through Link Terms and Purchase Terms (https://stripe.com/legal/consumer). Link doesn't license Nexus to you; Invictus does.
- - If this Agreement and the Terms of Sale conflict, the Terms of Sale control on payment, renewal, cancellation and refunds, and this Agreement controls on how you may use Nexus.
1.4 Accepting. You accept this Agreement by clicking Accept in Nexus. If you accept on behalf of a company or other organization, you confirm you're authorized to bind it, and "you" means that organization.
2. A few definitions
- - "Seat" means the right to have Nexus activated on one Mac at a time.
- - "License key" means the key we email you after purchase to activate a Seat.
- - "Subscription" means a paid Monthly or Annual Nexus plan bought under the Terms of Sale.
- - "NDI Components" means the NDI® runtime library (libndi) and any other NDI® SDK material included in Nexus (section 8).
3. Free trial
3.1 Nexus includes a 14-day free trial on each Mac. The trial starts the first time Nexus runs on that Mac. It needs no license key, no payment details and no Internet connection, and it doesn't turn into a paid Subscription by itself.
3.2 During the trial you may use Nexus on that Mac for evaluation and for your own productions, under this Agreement.
3.3 When the trial ends, Nexus limits itself as described in section 6 until you activate a Seat. Don't try to reset, extend or restart the trial (for example by changing the date or deleting Nexus's stored data).
4. Your subscription license
4.1 Grant. While your Subscription is active and paid, and as long as you follow this Agreement, Invictus grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Nexus in object-code form, for your own internal business or professional purposes (including productions you run for your clients), on one Mac per Seat at a time.
4.2 One Seat, one Mac. Each Seat covers one Mac at a time. You may install Nexus on other Macs, but you may use a license key on only as many Macs at a time as you have Seats; other Macs may be used only during their own trial. To use more Macs at the same time, buy more Seats. This is a condition of your license, and it applies whether or not Nexus or our licensing system stops you from going over it.
4.3 Who may use a Seat. If an organization holds the Seat, its employees and contractors may operate Nexus on the activated Mac for the organization. The organization is responsible for their compliance with this Agreement.
4.4 Length. The license for a Seat lasts for the Subscription period you've paid for, and continues on each renewal until it ends under section 12. Renewal, cancellation and refunds work as set out in the Terms of Sale (clauses 4, 5 and 7).
4.5 System requirements. Nexus needs a Mac with Apple silicon running macOS 14 or later, and an Internet connection to activate and for license checks (section 5).
4.6 Licensed, not sold. Nexus is licensed to you, not sold. We keep every right we don't expressly grant here.
5. License keys, activation and online checks
5.1 Your key. Keep your license key private. Don't share it, publish it or let anyone use it on a Mac beyond your Seats. You're responsible for use of your key. Tell us at support@invictusent.com if you think it's been misused.
5.2 Activation. You activate a Mac in Nexus (Settings → License Status) by entering your license key. Activation needs an Internet connection. Nexus sends our licensing provider, Keygen, your license key and an identifier for that Mac, as described in our Privacy Policy.
5.3 Online license checks. To confirm your license is still valid, Nexus contacts Keygen:
- - when it starts, if more than 24 hours have passed since the last successful check;
- - when you click Refresh; and
- - when you activate.
5.4 Offline grace. Offline grace covers the case where Nexus can't complete a license check: for example, it can't reach the license server, or the check fails for a reason other than your license's status. An activated Mac needs a successful license check at least once every 7 days. If about 36 hours pass without one, Nexus shows a GRACE warning with the days left. If 7 days pass, Nexus enters the unlicensed state in section 6 until a check succeeds (or you re-activate). There's no grace when the license server answers that your license is suspended, expired or revoked: Nexus locks when that check gets the answer (section 6).
5.5 Moving a Seat. You can deactivate a Mac in Settings → License Status to free its Seat and then activate another Mac. If the deactivation can't reach Keygen, Nexus still frees the Seat on that Mac; contact support@invictusent.com and we'll clear the record.
5.6 Don't interfere. Don't bypass, disable, alter or fake the license key, activation, license checks or trial period, and don't use a key generator, patched copy or someone else's key.
6. When Nexus is unlicensed
6.1 When this happens. Nexus is "unlicensed" on a Mac:
- - when the trial has ended and no Seat is active;
- - when the offline grace in 5.4 runs out; or
- - with no grace period, at the license check that gets the answer that the license is suspended, expired or revoked (for example after a failed payment, the end of a cancelled Subscription, a refund, a chargeback or a breach; see section 12). That check can come some time after the change. Nexus then shows the license as REVOKED.
6.2 What Nexus does. Nexus is designed not to tear down outputs that are already live while it's running:
- - If Nexus is already running, it locks the MATRIX, MULTIVIEWS and DEVICES tabs, Bitfocus Companion commands that change sources, routing or salvos (read-only status queries keep working), storing, taking and deleting salvos, creating and deleting Test Generator outputs, and the Streams QC control. Outputs that are already live are designed to keep running until you quit Nexus.
- - Once Nexus has recorded on your Mac that the license is no longer active, the next time it starts it shows "License Required" and doesn't start production on its own until you activate a Seat or renew. Until Nexus has completed a license check that finds the problem, it may start normally, including reopening a project you open with it; when a check then finds the problem, the controls lock as above and anything already running is designed to keep running until you quit.
We describe this so you can plan around it. It isn't a promise that outputs will never be interrupted (see sections 13 and 14).
6.3 Getting back. Activating a valid Seat, or (where the Terms of Sale allow) paying an outstanding amount, restores normal use. A license that was suspended because its payment was refunded can't be reinstated (section 12.5; Terms of Sale clause 7(d)).
7. Restrictions
Except as this Agreement allows, or as the law allows despite this restriction, you must not, and must not let anyone else:
- 1. copy Nexus, except for installation copies and normal backups;
- 2. use Nexus on more Macs at the same time than you have active Seats;
- 3. sell, rent, lease, lend, sublicense, distribute, share, or host Nexus for others to use as a service;
- 4. modify, translate or create derivative works of Nexus;
- 5. reverse engineer, decompile or disassemble Nexus, or try to derive its source code. (If you're in a country whose law gives you a right to do some of this, for example to make Nexus work with other software, that right isn't affected; ask us first for the information you need.)
- 6. bypass the license controls (section 5.6) or any technical limitation in Nexus;
- 7. remove, obscure or alter any copyright, trademark or other notice in or on Nexus, including the NDI® notices and libndi_licenses.txt;
- 8. use Nexus to break the law or infringe anyone's rights, including by monitoring, recording, routing or redistributing video, audio or streams you don't have the right to use;
- 9. use Nexus on networks or devices you aren't authorized to access or control;
- 10. use Nexus or its outputs to suggest that NDI or Vizrt NDI AB sponsors, endorses or certifies your product or service.
8. NDI® components
8.1 Third-party technology. Nexus includes software development kit components, including the NDI® runtime library (libndi), licensed to Invictus Entertainment, LLC by Vizrt NDI AB ("NDI"). NDI® is a registered trademark of Vizrt NDI AB. NDI is not the licensor of Nexus and does not sponsor, endorse, certify or support it. Nexus is an independent product of Invictus Entertainment, LLC. More information about NDI is at https://ndi.video/. The NDI SDK license is at http://ndi.link/ndisdk_license. Third-party notices for these components are in the file libndi_licenses.txt in the application bundle (Nexus.app/Contents/Frameworks).
8.2 Restrictions. You shall not, and shall not attempt to, and shall not permit any third party to:
- (a) modify the NDI SDK, any NDI component included in Nexus, any NDI product, or any part of them;
- (b) reverse engineer, disassemble, decompile or recompile the NDI SDK, any NDI component or NDI product, or any part of them, or any protocol used by them, whether transmitted or received over a network or used internally or externally to the machine (physical or virtual) on which it operates;
- (c) circumvent any technical limitation in the NDI SDK, any NDI component or NDI product; or
- (d) remove, obscure or alter any proprietary notice or label contained on or within the NDI SDK, any NDI component or NDI product.
8.3 Disclaimer on behalf of NDI. NDI AND EACH OF ITS LICENSORS DISCLAIM ANY AND ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH RESPECT TO THE NDI COMPONENTS AND NEXUS.
8.4 No liability of NDI. TO THE EXTENT PERMITTED BY APPLICABLE LAW, NEITHER NDI NOR ANY OF ITS LICENSORS SHALL BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL, ARISING FROM THE USE OF NEXUS OR ANY PRODUCT BUNDLED WITH IT.
8.5 Export. You shall comply fully with all applicable export control and sanctions laws and regulations of the United States, including the Export Administration Regulations, and shall not export or re-export Nexus or any part of it, directly or indirectly, in violation of United States law, or to any country, entity or person prohibited by such laws. (See also section 17.)
8.6 Copyright notice. NDI components: Copyright © 2023–2026 Vizrt NDI AB. All rights reserved. Portions may be copyright NDI, Inc. and the third parties identified in libndi_licenses.txt.
8.7 Third-party developers. If you use Nexus, or any interface it exposes (such as its OSC control interface), to develop a product for distribution to others that uses any part of the NDI SDK, you must comply with the NDI SDK License Agreement (available at http://ndi.link/ndisdk_license), including keeping current and complete NDI compatibility, and you must include the terms of this section 8 in your own end-user license agreement.
8.8 NDI as third-party beneficiary. NDI is an intended third-party beneficiary of this section 8 and may enforce it.
9. Other third-party and open-source components
9.1 Nexus includes the third-party components listed in libndi_licenses.txt (Nexus.app/Contents/Frameworks), which reproduces their copyright notices and license terms. They include, among others, RapidJSON (MIT License), components under the Boost Software License 1.0, and code copyright Xiph.Org and others under BSD-style terms.
9.2 Where an open-source license gives you rights that this Agreement would otherwise restrict, for the component it covers, that license controls for that component.
9.3 Third-party components are provided under their own terms, and sections 14 and 15 also apply to them for your benefit and theirs.
10. Ownership; your files; feedback
10.1 Invictus and its licensors own Nexus and all intellectual property rights in it. "Nexus" and the Nexus logo are Invictus's trademarks; this Agreement gives you no right to use them except to refer to Nexus accurately.
10.2 Your show files, multiviews, matrices, Engineering Notes, settings and other files you create with Nexus are yours. Nexus saves them on your Mac or wherever you choose; we don't receive them (Privacy Policy §3.1).
10.3 If you send us suggestions or feedback, we may use them without owing you anything.
11. Updates and support
11.1 Updates. We may release updates that fix problems, change features or keep Nexus compatible with macOS and with the current NDI SDK. Nexus doesn't update itself; you download and install updates. Some updates may be needed to keep using Nexus, for example if an older version stops passing license checks. An update may come with a new version of this Agreement (section 19).
11.2 Support. Support is by email at support@invictusent.com.
11.3 No obligation beyond the law. Apart from what the law requires (see section 16) and what the Terms of Sale say, we don't promise to release any particular update or feature.
12. Term, suspension and termination
12.1 Term. This Agreement starts when you click Accept and lasts until it ends under this section.
12.2 Trial. Your right to use Nexus without a Seat ends when the trial on that Mac ends (section 3).
12.3 Cancellation. If you cancel a Subscription (Terms of Sale clause 5), your Seat stays active until the end of the period you've already paid for. The license for that Seat is then suspended, and Nexus behaves as in section 6.
12.4 Failed payment. While a renewal payment is outstanding, your license is suspended (Terms of Sale clause 8). When Nexus next checks and finds it suspended, it locks as in section 6, with no grace period. Paying restores it.
12.5 Refund. If a payment is refunded, under the Terms of Sale clause 7 or by Link, the license for that order ends: the Subscription is cancelled, and the license is suspended and marked as refunded. When Nexus next checks, it locks as in section 6. A refunded license can't be reinstated, but you're welcome to buy again at the then-current price. Suspending a license doesn't delete your files, your settings or our records of the order.
12.6 Chargeback. If a payment is reversed by a dispute or chargeback, the license for it is suspended (Terms of Sale clause 11).
12.7 Breach. We may suspend or end your license if you materially break this Agreement, for example by sharing your key or bypassing the license controls. Where the breach can be fixed, we'll first tell you by email and give you a reasonable time to fix it, unless the law, a court or NDI requires us to act at once or the breach harms others.
12.8 If we must stop distributing NDI Components. If our right to distribute the NDI Components ends (NDI's license allows NDI to end it on notice), we may have to change or stop Nexus. If that ends your use before the end of a period you've paid for, we'll refund the unused part of that period.
12.9 Effect of ending. When your license ends, you must stop using Nexus on the affected Mac(s) beyond what section 6 allows to finish a session already running, and you may uninstall it. Your own files stay yours. Sections 7, 8, 10, 13–17, 20 and 21 continue after this Agreement ends.
13. Live production: your responsibility
13.1 What Nexus is. Nexus is a professional tool for broadcast and live-event engineers working with NDI®, IP video and live-event flypack systems: monitoring, matrix routing, multiview and related workflows. It's meant to support, not replace, human judgment, proper network engineering, redundant systems and standard testing.
13.2 Live risk. Live video production carries technical and operational risk. Nexus can't guarantee against signal loss, dropped frames, latency, sync or timing problems, network failures, or other disruptions, including ones caused by networks, devices, macOS, other software or the NDI Components.
13.3 What you're responsible for. You're responsible for:
- - testing Nexus in your own setup before each production;
- - keeping independent backup systems and manual fallbacks;
- - your network, devices, tools and overall production setup;
- - keeping your license active before a show (sections 5 and 6), including connecting the Mac often enough for license checks.
13.4 Not for critical safety uses. Nexus isn't designed or certified for life-safety, medical, emergency-services or other uses where a failure could cause death, injury or serious physical or environmental harm. Don't use it for those.
14. Warranty disclaimer
Section 16 limits this section. Read them together.
TO THE FULLEST EXTENT THE LAW ALLOWS, NEXUS IS PROVIDED "AS IS" AND "AS AVAILABLE", AND INVICTUS AND ITS LICENSORS (INCLUDING NDI) MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. THIS INCLUDES ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (INCLUDING LIVE BROADCAST OR MISSION-CRITICAL USE), TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, LOW LATENCY, FRAME-ACCURATE PERFORMANCE, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DON'T WARRANT THAT NEXUS WILL DISCOVER EVERY SOURCE OR DEVICE ON YOUR NETWORK OR WORK WITH EVERY DEVICE.
15. Limitation of liability
Section 16 limits this section. Read them together.
15.1 No indirect losses. TO THE FULLEST EXTENT THE LAW ALLOWS, INVICTUS, ITS AFFILIATES, DEVELOPERS, CONTRIBUTORS AND LICENSORS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST REVENUE OR PROFITS, PRODUCTION DOWNTIME, BROADCAST FAILURES, LOST DATA, EQUIPMENT DAMAGE OR OTHER COMMERCIAL OR PROFESSIONAL LOSS, ARISING FROM OR RELATED TO NEXUS OR THIS AGREEMENT, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
15.2 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, INVICTUS'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO NEXUS OR THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID FOR NEXUS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100, WHICHEVER IS GREATER.
15.3 NDI. Section 8.4 applies to NDI and its licensors.
16. Your consumer rights (this section overrides sections 14 and 15)
16.1 Everyone. Nothing in this Agreement excludes or limits any right or liability that the law where you live doesn't allow to be excluded or limited. Some places don't allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so parts of sections 14 and 15 may not apply to you. Nothing in this Agreement limits our liability for fraud, or for death or personal injury caused by our negligence.
16.2 Consumers in the EU, EEA and UK. If you're a consumer (using Nexus mainly outside your trade, business, craft or profession) in the European Union, the European Economic Area or the United Kingdom:
- - you keep your statutory rights, including the right that Nexus is as described, fit for purpose and of satisfactory quality, and to receive the updates needed to keep it that way during your Subscription. Sections 14 and 15.2 don't reduce those rights or the remedies the law gives you (such as repair, a price reduction or a refund);
- - we're responsible for loss you suffer that is a foreseeable result of our breaking this Agreement or failing to use reasonable care and skill, and we don't limit our liability where the law doesn't let us (including for intent or gross negligence, and for damage to your device or other digital content caused by defective digital content we supplied that you couldn't have avoided by following our advice);
- - your 14-day right to cancel a purchase, and how to use it, is in Terms of Sale clause 7(g);
- - section 20's choice of law doesn't take away the protection of the mandatory consumer laws of the country where you live, and you may bring claims in your local courts.
16.3 Businesses. If you use Nexus for business (as most Nexus customers do), sections 14 and 15 apply in full to the extent the law allows.
17. Export and sanctions
You may not download, use, export or re-export Nexus in breach of U.S. export control or sanctions laws, or other laws that apply to you. You confirm you're not located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, and you're not on a U.S. government list of restricted or prohibited persons. Nexus is sold only where the Terms of Sale (clause 13) allow. Section 8.5 also applies.
18. Privacy
Our Privacy Policy (https://invictusent.com/privacy.html) explains what Nexus and our website collect and how we use it. In short: Nexus sends our licensing provider, Keygen, your license key and an identifier for your Mac when you activate and during license checks; the free trial sends nothing; and Nexus doesn't upload your video, audio or NDI® stream content.
19. Changes to this Agreement and re-acceptance
19.1 We may update this Agreement, for example when we change Nexus, our licensing, or our legal or NDI obligations. Each version has a version number and effective date.
19.2 When the version changes, Nexus shows the new version the next time it starts and asks you to Accept it. If you don't accept, click Quit; you can't keep using Nexus under the old version. If you have a paid Subscription and don't accept a change that materially reduces your rights, you can cancel, and for an Annual plan we'll refund the unused part of the period you've paid for.
19.3 We'll also post the current version at https://invictusent.com/nexus/eula.html and, for material changes, email active subscribers.
19.4 Changes don't apply to a dispute that arose before the change.
20. Governing law and disputes
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Courts in Los Angeles County, California, have exclusive jurisdiction, except as section 16.2 provides for consumers.
21. General
21.1 Entire agreement. This Agreement, the Terms of Sale and the Privacy Policy are the whole agreement between you and Invictus about Nexus, and replace the earlier "Nexus – Disclaimer" (Effective August 2026) shown in earlier versions of Nexus.
21.2 Severability. If a court finds part of this Agreement unenforceable, the rest stays in effect, and that part is enforced as far as the law allows.
21.3 No waiver. If we don't enforce a term right away, we can still enforce it later.
21.4 Assignment. You may not transfer this Agreement or your license without our written consent. We may transfer this Agreement to a successor to our business or to Nexus, if your rights under it aren't reduced.
21.5 Third parties. Apart from NDI under section 8.8 and our licensors under section 9.3, no one else has rights under this Agreement.
21.6 U.S. Government users. Nexus is "commercial computer software" and its documentation is "commercial computer software documentation", licensed to U.S. Government end users only under this Agreement (48 C.F.R. 12.212; 48 C.F.R. 227.7202).
21.7 Language. If we provide a translation, the English version controls to the extent the law allows.
